Master Subscription Agreement (MSA)

1. Provision of Services

This MSA governs your subscription to BRR Softwares' products (BrrLMS, BrrCRM) and the BRR-AI Enterprise Platform. It also outlines the framework for custom Software Development (Kafka, MuleSoft, Salesforce, Oracle) and miniGCC engagements.

2. Intellectual Property Rights

Custom Software Development: Upon full payment of all undisputed fees, BRR Softwares assigns the Intellectual Property rights of custom deliverables to the client, excluding any pre-existing BRR frameworks or AI engine cores used to accelerate development.

SaaS and AI Platforms: BRR Softwares retains all rights, title, and interest in its SaaS platforms and the underlying BRR-AI technology.

3. miniGCC Operations

For miniGCC services, BRR Softwares provides infrastructure, recruitment, and operational management. The client retains full operational control over the assigned engineering squads and all generated IP.

4. Term and Termination

Subscriptions renew automatically unless canceled 30 days prior to the renewal date. Terminations of miniGCC or large-scale development contracts require a 90-day notice period due to staffing commitments.
